The terms for using Wysper Labs services.

These terms explain how Wysper Labs provides services, handles subscriptions, manages cancellations and works with third-party review platforms.

1. Introduction

These Terms of Service ("Terms") govern the provision of services by Wysper Labs ("we", "us", "our") to the customer ("you", "your").

By subscribing to or using our services, you agree to be bound by these Terms.

2. Services

Wysper Labs provides reputation management, customer feedback collection, review generation tools, review management services, reporting, automation services, QR and NFC review products, and related business support services.

The specific services provided will depend on the subscription plan selected by the customer.

3. Service Activation

Service activation will only commence once:

  • The onboarding form has been completed.
  • The applicable setup fee has been paid.
  • Any required Direct Debit mandate has been successfully authorised.
  • All information reasonably required to deliver the service has been supplied.

Wysper Labs reserves the right to delay activation where required information has not been provided.

4. Setup Fees

Setup fees are payable in advance.

Setup fees cover onboarding, configuration, branding, hardware preparation, automation setup, and related implementation work.

Once implementation work has commenced, setup fees are non-refundable.

5. Subscription Fees

Subscription fees are charged monthly in advance.

Monthly fees are collected via Direct Debit or another approved payment method.

Current subscription fees are published on our website and onboarding materials.

We reserve the right to amend subscription pricing by providing at least 30 days' written notice.

6. Failed Payments

If a payment fails:

  • We may contact you to arrange payment.
  • Service access may be restricted or suspended until payment is received.
  • Outstanding balances remain payable.
  • We reserve the right to terminate services for persistent non-payment.

7. Cancellation

Customers may cancel their subscription by providing at least 30 days' written notice.

Cancellation requests should be submitted by email to the contact details published on our website.

Services will remain active during the notice period unless otherwise agreed.

Setup fees are non-refundable.

No refunds will be issued for partial subscription periods already paid.

8. Customer Responsibilities

You agree to:

  • Provide accurate and up-to-date information.
  • Supply any branding assets, review links, and business information required for setup.
  • Ensure you have the right to use any materials supplied to us.
  • Use our services lawfully and in accordance with applicable platform policies.

You remain responsible for all content submitted through your business and any responses posted under your control.

9. Reviews and Third-Party Platforms

Wysper Labs does not own or control review platforms including Google, Trustpilot, Facebook, TripAdvisor, or similar services.

We cannot guarantee:

  • The number of reviews received.
  • The rating of reviews received.
  • Search engine rankings.
  • AI search visibility.
  • Business performance or revenue increases.

Review publication, moderation, removal, and display remain subject to the policies of the relevant third-party platform.

10. Hardware Products

Where physical products are supplied, reasonable efforts will be made to ensure they are delivered as described.

Customers must notify us of any manufacturing defects or delivery issues within 14 days of receipt.

Normal wear and tear, accidental damage, misuse, or unauthorised modifications are not covered.

11. Intellectual Property

All software, systems, templates, reports, branding elements created by Wysper Labs, automation workflows, and associated materials remain the intellectual property of Wysper Labs unless otherwise agreed in writing.

Customers retain ownership of their own logos, trademarks, content, and business information.

12. Service Availability

We aim to provide reliable services but cannot guarantee uninterrupted availability.

Services may occasionally be affected by:

  • Platform outages.
  • Internet disruptions.
  • Third-party software providers.
  • Maintenance activities.
  • Circumstances beyond our reasonable control.

13. Limitation of Liability

To the fullest extent permitted by law, Wysper Labs shall not be liable for:

  • Loss of profits.
  • Loss of business opportunities.
  • Loss of goodwill.
  • Indirect or consequential losses.

Our total liability relating to any claim shall not exceed the total subscription fees paid by the customer during the preceding 12 months.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

14. Data Protection

We process personal data in accordance with our Privacy Policy.

Customers should review our Privacy Policy for information about how personal information is collected, used, stored, and protected.

15. Changes to These Terms

We may update these Terms from time to time.

Where material changes are made, customers will be given reasonable notice.

Continued use of the services following such changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
